Uniserve Communications Corporation (TSXV: USS), a Canadian provider of managed IT, ISP, cloud, and data centre services, announced today that it will not meet the filing deadline for its business acquisition report (BAR) and associated financial statements related to its acquisition of Megawire Inc. The BAR is required under National Instrument 51-102 – Continuous Disclosure Obligations, which mandates filing within 75 days of the acquisition. The Company cited the need for additional time to prepare and audit the financial statements of Megawire, as well as other private companies involved in the transaction, Brimax Financial Services Inc. and Waterloo Wireless Inc., which have not previously prepared audited financial statements.
Uniserve expects to complete the required filings by no later than June 30, 2026. In the interim, the Company has imposed a management trading blackout pending the filings. The Company confirmed it is current in all other continuous disclosure filings. The acquisition of Megawire was previously announced on December 23, 2025, and Uniserve believes it represents an important step in expanding its capabilities and geographic reach in delivering managed IT, connectivity, and digital infrastructure solutions across Canada.
