UMT United Mobility Technology AG has invited shareholders to an extraordinary general meeting on 21 October 2026 in Munich to approve changing the company's name to WAYDEAR AG. The sole agenda item is the amendment to the Articles of Association, with the notice to be published in the Federal Gazette on 14 September 2026 and documents available from that date in the Investor Relations section at www.umt.ag. The change marks the final step in the company's operational transformation from its legacy mobility technology business to a provider of agent-based AI solutions, known as Agentic AI.
The old name, United Mobility Technology, no longer reflects the company's activities. UMT AG now develops and markets Agentic AI that automates document-intensive and regulation-driven business processes for small and medium-sized enterprises. Two product lines are already on the market: the Catchflow Agent for EU import processes (CATCH/TRACES) and UMS Vision AI for transport and logistics companies. In June, the company secured NORDFROST, the German market leader in frozen food logistics, as a reference customer for CATCH automation, and EYE Logistics, another SME freight forwarding client, for UMS Vision AI. Additional customers have been added since.
The rebranding matters because it aligns the company's public identity with its actual business, making it easier for customers, partners, and investors to understand what WAYDEAR does. The name combines 'Way' - path, process, direction - with 'dear' in the sense of valuable, emphasizing that the company automates business-critical processes. CEO Erik Nagel said: "The reorganisation of UMT AG is complete. The products are on the market, we have secured our first reference customers, and the sales organisation is in place. The company name was the last element that still dated from a different era. With WAYDEAR, we will henceforth operate under a name that says exactly what we do."
Financially, the guidance published in August remains unchanged: break-even in 2026, revenue of between 1.2 and 1.5 million euros in the 2027 financial year, and a revenue margin of 60 to 70 per cent. The revenue margin refers to the gross profit margin: revenue less variable sales commissions and other directly attributable service costs, expressed as a proportion of revenue. The break-even point refers to EBITDA on a monthly basis at the end of 2026. These targets suggest that the company expects its AI products to generate high-margin, recurring revenue as adoption grows.
For shareholders, the change is largely administrative. The ISIN (DE000A40ZVU2) and WKN (A40ZVU) remain unchanged, and the shares will trade under the new name following registration. A new stock exchange ticker symbol will be applied for after registration and announced separately. Shareholders do not need to take any action. The shares are currently listed on the Open Market (Basic Board) of the Frankfurt Stock Exchange.
The name change could have broader implications for the AI market. By rebranding, UMT AG is positioning itself as a dedicated Agentic AI player, which may attract more attention from investors and customers looking for specialized automation solutions. The company's focus on regulation-driven processes, such as EU import procedures and logistics documentation, addresses a growing need for compliance and efficiency in SMEs. As more businesses seek to automate complex workflows, WAYDEAR's success could signal the maturation of Agentic AI as a practical tool for mainstream industries.
The extraordinary general meeting on 21 October 2026 will be a formality, but its approval will officially close one chapter and open another for the Munich-based company. The change of name will take effect upon entry in the Commercial Register. Until then, the company continues to operate as UMT AG.
