Trailbreaker Resources Ltd. (TBK.V) announced on November 6, 2025, that it has amended an option agreement for a mineral claim at its Atsutla Gold project in northwestern British Columbia. The amendment, signed November 3, 2025, modifies the terms of the original agreement with optionor Torrey Fredlund for the Golden Echelon claim block, which covers 132 hectares between the Snook and Highland zones.
Under the original agreement dated November 21, 2022, Trailbreaker was to earn a 100% interest in the claim by issuing staged share payments totaling 80,000 common shares over three years and a one-time cash payment of $25,000. The final tranche, due by November 16, 2025, required issuing 50,000 common shares and a $25,000 cash payment. The amended agreement removes that requirement and replaces it with two new milestones: issuing 25,000 common shares by November 16, 2025, and, on or before May 16, 2026, either paying $25,000 and issuing 50,000 common shares, or issuing 175,000 common shares.
The optionor retains a 1% Net Smelter Return (NSR) royalty, with Trailbreaker holding the right to buy back the NSR within two years of exercising the option for $50,000 and 100,000 common shares. The amendment is subject to TSX Venture Exchange approval.
This restructuring provides Trailbreaker with greater flexibility in managing its capital structure and exploration timeline. The Atsutla Gold project is a key asset for the company, which focuses on exploration in British Columbia and the Yukon. The amendment reduces immediate cash outlay and allows for a share-based alternative, reflecting the company's strategy to preserve cash for ongoing exploration activities.
