LataMed AI Corp. (OTC: LMED) provided a shareholder update on July 8, 2026, regarding the implementation of its previously announced 5-for-1 forward stock split and mandatory share exchange process. The Company has submitted all required documentation to FINRA and anticipates the corporate action to become effective within approximately the next week, subject to FINRA's review. A new CUSIP number, 21116R404, will replace the current CUSIP upon effectiveness.
For shareholders holding shares through a brokerage account, no action is required as the exchange will be processed automatically. Registered book-entry shareholders also do not need to submit documentation; the transfer agent will update accounts to reflect the post-split share balance and new CUSIP. Physical stock certificate holders are not required to surrender certificates immediately, but when they submit them for transfer, sale, or exchange, the certificates will be processed under the new CUSIP and the appropriate post-split shares issued.
Dr. Kevin Rodan Levy, CEO, emphasized that the forward stock split and mandatory exchange are designed to support the Company's capital structure and strategic initiatives. He stated, "As we move beyond the implementation of the forward stock split, management intends to focus its efforts on advancing the Company's telemedicine platform while continuing to pursue licensing and commercialization opportunities for our CardioAI, PulmoAI, and NeuroAI artificial intelligence platforms." These platforms are central to LataMed's long-term strategy of building an integrated digital healthcare ecosystem in Latin America.
The forward stock split is expected to facilitate the Company's corporate development and broader strategic goals. Shareholders with questions are encouraged to contact their brokerage firm or the Company's transfer agent once detailed instructions become available. Additional updates on the effective date and implementation timeline will be provided as the corporate action progresses.
