Ideal Group Acquires Hospitality Development Group in Multi-Asset Deal

Ideal Group of Companies, Inc. (OTC: IDGR) has acquired Hospitality Development Group (HDG) in an all-stock transaction, the companies announced on March 18, 2026. The acquisition includes a diversified portfolio of assets spanning premium real estate developments, precious metals mining rights, and innovative technology platforms, positioning IDGR for significant growth and enhanced shareholder value.

The transaction incorporates two strategically positioned real estate projects. The Palazzo del Lago Resort in Orlando, Florida, is a world-class mixed-use resort featuring 1,552 luxury rooms and suites in its main building and Tower 1, along with 800 resort villas across four towers. Designed in Italian Renaissance style, the lakefront resort will offer water sports, a health spa, multiple restaurants, and conference facilities. It has an agreement with Orange County to be designated as a convention center hotel and will be branded by a world-renowned hotel chain. More details are available at www.palazzodellago.com.

The second real estate asset, Arden Mills Development in Fitchburg, Massachusetts, consists of 7 acres along the Nashua River. The project plans to develop 156 rental units, capitalizing on multi-family demand in the area. The site previously received permits for the units, and engineers and city personnel have expressed support for a fast re-permitting process.

Expanding into natural resources, the acquisition includes gold mining and other mineral rights concessions in Bolivia, subject to due diligence. This provides IDGR direct exposure to precious metals, diversifying revenue streams amid rising gold prices and global demand.

On the technology front, IDGR gains three platforms: Virtual HealthMD, a telehealth service offering 24/7 physician access; Virtual PetMD, providing 24/7 veterinarian access; and Virtual365.app, a decentralized platform for hosting and monetizing immersive virtual events using Web3 technology. These assets tap into high-growth sectors in healthcare, pet care, and digital events.

Charles Cardona, CEO of Ideal Group of Companies, described the acquisition as a "watershed moment" for IDGR and its shareholders, emphasizing the strategic value of the diversified portfolio. "The Palazzo del Lago project alone represents the kind of premium, visionary real estate opportunity that can define a company's trajectory," he said. "Combined with our gold mining operations, affordable housing portfolio, and cutting-edge technology platforms, we are creating a diversified powerhouse built for sustainable growth and exceptional shareholder returns."

Jerrold R. Krystoff, Chairman and CEO of Hospitality Development Group, expressed enthusiasm about the transaction, noting that IDGR's vision for leveraging the assets creates a win-win opportunity for both organizations.

Ideal Group of Companies, headquartered in Anderson, South Carolina, focuses on strategic acquisitions and operational excellence across sectors including mortgage services through its Oxygen Mortgage subsidiary. The company intends to facilitate funding for the real estate projects and technology platforms to commence development and operations.

The transaction underscores IDGR's strategy of disciplined capital deployment to acquire financial leverage, market positioning, and growth engines across multiple high-value sectors. For more information, visit idealgroupcorp.com.
