HeartBeam Launches Public Offering to Advance Cardiac AI and Commercialization of FDA-Cleared ECG System

HeartBeam Inc. (NASDAQ: BEAT), a medical technology company focused on cardiac care innovation, announced it is commencing an underwritten public offering of shares of its common stock or common stock equivalents, with all securities to be offered by the company. The final size and terms are subject to market conditions, according to the press release.

The company stated it intends to use net proceeds from the offering to advance commercialization of its FDA-cleared 12-lead synthesized ECG system, further development of its extended-wear patch and heart attack detection initiatives, enhance its AI capabilities, and support working capital and general corporate purposes. Titan Partners, a division of American Capital Partners, is acting as sole bookrunner.

HeartBeam is creating the first-ever cable-free device capable of collecting ECG signals in 3D from three non-coplanar directions and synthesizing the signals into a 12-lead ECG. This platform technology is designed for portable devices that can be used wherever the patient is to deliver actionable heart intelligence. Physicians will be able to identify cardiac health trends and acute conditions and direct patients to appropriate care outside of a medical facility.

The company's 3D ECG technology received FDA clearance for arrhythmia assessment in December 2024 and the 12-lead ECG synthesis software in December 2025. HeartBeam holds over 20 issued patents related to technology enablement. For more details on the cleared indications, refer to the company's Indications for Use page.

This public offering comes as HeartBeam seeks to capitalize on its recent FDA clearances and expand its presence in the cardiac monitoring market. The company's AI enhancements are expected to improve diagnostic accuracy and support remote patient monitoring, potentially reducing healthcare costs and improving outcomes for patients with cardiac conditions.

The offering's success will depend on market conditions, but the company's focus on innovation and commercialization positions it for growth in the medtech sector. For the full press release, visit https://ibn.fm/pxFOz.
