Genesis Holdings, Inc. (OTCID: GNIS) CEO Oscar Brito released a letter to shareholders on Monday detailing the company's transformation over the past six months. The letter highlights the resolution of legacy convertible debt issues and outlines a growth strategy centered on luxury real estate funds and acquisitions.

Brito stated that the company has successfully renegotiated its convertible debt, converting two-thirds of outstanding balances into Series D Preferred Stock. This move eliminated conversion discounts and variable pricing mechanics that had diluted common shareholders. The pro forma balance sheet as of June 30, 2026, reflects positive stockholders' equity of approximately $901,550, a swing of about $3.0 million from a deficit at the end of last year. “For the first time since this management team arrived, Genesis is standing on a capital structure built for growth,” Brito wrote.

With the balance sheet stabilized, Brito turned to growth initiatives. The company expects to launch two funds before the end of August through its Travaleo platform, in partnership with Aurami Capital and Miami Real Investment (MRI). The first fund targets $30 million for branded luxury real estate, supported by roadshows across Latin America. The second fund, still in advanced discussions, involves a Mexico-based wealth management firm managing approximately $5 billion in assets.

Brito also announced plans to relaunch MetroCrowd, a platform for traditional real estate segments, through acquisitions of mid-sized property management firms. “We are actively looking to acquire profitable, well-run, mid-sized property management firms with deep operating expertise,” he said, though no definitive agreements have been signed.

The CEO emphasized that these steps are building toward a national securities exchange listing. “A cleaner capital structure, a demonstrated ability to execute on fund launches, and a growing base of operating businesses are the building blocks that make that goal achievable,” Brito said.

The letter concludes with Brito expressing confidence in the company's direction. “We have more work ahead of us than behind us. But for the first time since we took over this Company, I can say with confidence that the foundation is in place,” he wrote.
