FingerMotion Term Sheet Signals Major Shift to North American Power and Computing Infrastructure

FingerMotion Inc. (NASDAQ: FNGR) has entered into a non-binding term sheet with BlueFlare Group Holdings Inc., a Calgary-based developer of behind-the-meter power generation and modular high-performance computing infrastructure, to explore a potential business combination. The proposed deal would create a North American infrastructure company focused on delivering on-site power and computing capacity to enterprise customers, representing a significant strategic pivot for FingerMotion, which currently operates mobile payment and recharge platform solutions in China.

Under the proposed terms, BlueFlare shareholders and certain management and advisory parties would hold approximately 80% of the combined company on a fully diluted basis, leaving existing FingerMotion shareholders with roughly 20%. Upon completion, FingerMotion would be renamed BlueFlare Inc. and trade on Nasdaq under the ticker symbol BFLR. The structure effectively positions BlueFlare as the dominant partner, with FingerMotion serving as the public listing vehicle. FingerMotion CEO Jolie Kahn is expected to serve as CEO, president and board chair of the combined company, while Landon Ruszkowski would continue leading BlueFlare Canada Inc.

BlueFlare's business model combines on-site power generation using Alberta natural gas with modular computing infrastructure, offering power, cooling and computing-ready space under long-term contracts without owning or financing computing hardware. Its modular facilities are designed to deliver capacity in months rather than years, with sites sized in 9.9-megawatt increments. This approach could appeal to enterprise customers seeking faster deployment of computing capacity, particularly as demand for data processing and high-performance computing continues to rise.

The announcement matters because it signals a potential exit from FingerMotion's existing China-focused operations and a entry into the North American power and computing infrastructure market. For investors, the transaction would substantially dilute existing FingerMotion shareholders while giving them exposure to a different business with its own risk profile. The proposed transaction remains subject to a definitive merger agreement, shareholder approvals, financing requirements, third-party valuations and applicable regulatory and trading market approvals. Completion is not guaranteed.

FingerMotion's current business centers on mobile payment and recharge platform solutions in China, where it aims to grow its user base and develop an ecosystem of value-added technologies. The company has expressed ambitions to serve over 1 billion users in the China market and eventually expand the model to other regional markets. The proposed combination with BlueFlare would represent a departure from that vision, redirecting the company's focus toward North American infrastructure.
