Energy Fuels Advances ASM Acquisition Following Overwhelming Securityholder Approval

Energy Fuels Inc. (NYSE American: UUUU) (TSX: EFR), a leading U.S. producer of uranium and rare earth elements, has taken a significant step toward completing its acquisition of Australian Strategic Materials Limited (ASX: ASM). At Scheme Meetings held on Aug. 12 in Perth, Australia, ASM securityholders overwhelmingly approved the proposed acquisition, with 98.23% of votes cast in favor of the Share Scheme and 99.97% for the Option Scheme. The approval marks a critical milestone in Energy Fuels' strategy to build an integrated Western mine-to-magnet rare earth supply chain.

The acquisition is expected to advance Energy Fuels' position in the rare earth market by adding ASM's Korean Metals Plant, planned American Metals Plant, and the Dubbo Project in New South Wales to its existing operations. These assets complement Energy Fuels' rare earth oxide production at its White Mesa Mill in Utah and the Donald Project in Victoria, which is being developed with Astron Limited. The integration is designed to create a vertically integrated supply chain that spans from mining to magnet production, reducing reliance on Chinese sources for critical minerals.

In addition to the ASM acquisition, Energy Fuels has agreed to acquire Vacuumschmelze (VAC), a permanent magnet manufacturer. This separate transaction, expected to close in early 2027, would extend Energy Fuels' capabilities into magnet production, further solidifying its role in the Western rare earth supply chain. The VAC acquisition is subject to regulatory approvals and is not a condition of the ASM transaction.

The next step in the ASM acquisition is a hearing before the Federal Court of Australia on Aug. 18, with the schemes expected to become effective on Aug. 19 and implementation targeted for Aug. 28. This timing underscores the urgency and strategic importance of the deal for Energy Fuels, which is positioning itself as a key player in the global transition to clean energy and the growing demand for rare earth elements used in electric vehicles, wind turbines, and defense applications.

The approval by ASM securityholders reflects confidence in the merger and the combined company's potential to strengthen the Western supply chain for critical minerals. Energy Fuels' existing operations, including the only fully licensed conventional uranium mill in the U.S., provide a strong foundation for expanding into rare earth production. The company also owns several uranium projects in the western United States and is developing heavy mineral sands projects in Madagascar, Brazil, and Australia.

This acquisition comes at a time when governments and industries are increasingly focused on securing reliable sources of critical minerals. The U.S. and its allies are seeking to reduce dependence on China for rare earth elements, which are essential for modern technologies. Energy Fuels' integrated approach, from mining to magnet production, positions it to play a pivotal role in meeting this demand.
