Element 29 Resources Closes C$35.5 Million Private Placement to Fund Peruvian Exploration

Element 29 Resources Inc. (TSX.V: ECU) (OTCQB: EMTRF) (BVL: ECU) has announced the closing of a non-brokered private placement, issuing 32,245,269 common shares at C$1.10 per share for gross proceeds of approximately C$35.47 million. The company plans to use the proceeds to advance exploration activities in Peru, including its 2026 drilling program at the Elida copper-molybdenum-silver project.

The private placement attracted new strategic investor Alpayana S.A.C., a Peruvian mining company, alongside other participants supporting Element 29's growth strategy. This injection of capital comes at a critical time as the company seeks to expand its portfolio of copper assets in one of the world's most favorable mining jurisdictions.

Element 29 is focused on exploring and potentially developing Tier-1 copper deposits in Peru, a country known for its low-cost, low-risk mining environment. The company's principal objective is to explore and significantly expand its Elida Porphyry Cu-Mo-Ag Deposit in west-central Peru. According to the company's press release, the Elida project is the flagship asset, and the 2026 drilling program aims to further delineate its resource potential.

Beyond Elida, Element 29 holds three early-stage, highly prospective porphyry copper projects covering more than 25,000 hectares of titled concessions. These include the Flor de Cobre porphyry Cu-Mo prospect located in the Southern Peru Copper Belt, just 26 km from the Cerro Verde copper mine operated by Freeport-McMoRan and Buenaventura. Additionally, the company controls the Paka and Pahuay porphyry Cu skarn prospects, which are related to potential tertiary-aged mineralized porphyry complexes intruding along the eastern margin of the Peruvian Coastal Batholith.

All of Element 29's projects are well-positioned for future mine development, benefiting from nearby infrastructure such as roads, powerlines, ports, water, and a skilled workforce. This existing infrastructure reduces the capital requirements for any potential development, making the projects more attractive from an investment perspective.

The closing of this private placement marks a significant milestone for Element 29 as it strengthens its financial position to pursue aggressive exploration in Peru. The participation of Alpayana, a strategic investor with deep roots in Peruvian mining, adds credibility and potential operational synergies.
