AEM Holdings Ltd. ("AEM"), a global leader in test innovation, announced a strategic partnership with ASE Technology Holding Co., Ltd. ("ASE"), the leading provider of semiconductor assembly, testing and materials services. The collaboration aims to combine AEM's proprietary test technologies with ASE's manufacturing scale to deliver disruptive test solutions for the rapidly expanding Artificial Intelligence (AI) and High-Performance Computing (HPC) markets.
Under the partnership, AEM will raise approximately S$12 million in gross proceeds through a private placement of 3,350,000 ordinary shares to a wholly owned subsidiary of ASE, representing 1.06% of AEM's issued share capital. The issue price is S$3.591 per share. ASE will also receive 28,111,856 free detachable warrants, divided into two tranches, each subject to revenue-related conditions. The warrants, if fully exercised, would represent an additional 8.935% of current issued share capital. The transaction is subject to conditions, including approval from the Singapore Exchange.
The proceeds will support AEM's expansion in Taiwan and the integration of its test technologies—including highly parallel test architectures and advanced thermal management—into ASE's manufacturing environments. Funds will also advance AEM's product roadmap and accelerate joint go-to-market initiatives for next-generation AI and HPC applications.
The partnership also supports ISE Labs, a wholly owned subsidiary of ASE, in expanding AI and HPC processor development capabilities for early-stage testing, validation, and characterization. These efforts focus on heterogeneous integration architectures, such as multi-chiplet and advanced system-in-package designs, as well as optical interconnect technologies critical to next-generation compute platforms. ASE's ATM portfolio provides high-volume advanced packaging and test capabilities for production-scale deployment.
Ken Hsiang, CEO of ISE Labs, noted that as compute architectures grow more complex, test has become a critical enabler. He stated that the partnership enables rapid transition from validation to high-volume deployment. Samer Kabbani, CEO of AEM, emphasized that this partnership advances the state of AI and HPC testing, combining respective strengths to develop next-generation test solutions that improve performance, scalability, and time-to-market.
The collaboration highlights the importance of test innovation in enabling the performance and reliability of advanced compute platforms, as global demand for AI and HPC continues to accelerate. The companies aim to address the increasing complexity of testing for advanced compute designs, including heterogeneous integration and optical interconnect technologies.
